The Companies Ordinance (Chapter 32), a Company Limited by Guarantee and not having any Share Capital
Memorandum of Association of China Amateur Radio Study Club Limited

  1. The name of the Club is "China Amateur Radio Study Club Limited (中華業餘無線電研究會有限公司)".
  2. The registered office of the Club will be situate in Hong Kong.
  3. The object for which the Club is formed are:
    1. To take over the assets, property, effects, liabilities and the management of the unincorporated "The China Amateur Radio Study Club, Hong Kong (香港中華業餘無線電研究會) - established since July 15, 1949"
    2. The promote and to develop the interests of members in radio, electronic, and computer fields.
    3. To promote collaboration and friendship between members and to foster and develop relations with those interested in radio, electronic and computer fields.
    4. To hold general discussions and to undertake research in radio, electronics and computer technology.
    5. To collect articles and literature on radio, electronic and computer technology for a reference library.
    6. To collect and distribute statistics concerning radio, electronic and computer business and members of the Club, and also to gather other relevant publications.
    7. To provide social and other welfare facilities for the benefit of all members.
    8. To organise various travels, sports, and social gatherings for members.
    9. To accept donations and any gifts of property whether subject to any special trust or not, for any one or more of the objects of the Club.
    10. Subject to Section 17 of the Companies Ordinance, to purchase, take, hold, exchange, sell or otherwise acquire and dispose of the land, and to manage, maintain, promote and develop assets and property and buildings of the Club or any part thereof.
    11. To raise funds by holding bazaars and raffles, accepting donations, subscriptions, and other monetary assistance in order to carry out the above objects of the Club.
    12. To invest and deal with moneys of the Club not immediately required in or upon such securities and in such manner as may be determined.
    13. To do all such lawful things as are incidental or conducive to the attainment of the above objects.
  4. The liability of the members is limited.
  5. The income and property of the Club whencesoever derived shall be applied solely towards the promotion of the objects of the Club as set forth in the Memorandum of Association and no portion thereof shell be paid or transferred directly or indirectly by way of dividends, bonus, or otherwise howsoeverby way of profit to the members of the Club. Provided that nothings herein shall prevent the payment, in good faith, of reasonable and proper remuneration to any officer or servant of the Club, or to any member of the Club in return for any services rendered, to the Club, nor prevent the payment of interest on money lent or reasonable and proper rent for premises demised or let by any member to the Club; but so that no member of the Council of Directors of the Club shall be appointed to any salaried office of the Club, or any office of the Club paid by fees, and that no remuneration or other benefit in money or money's worth shall be given by the Club to any member of such Council except repayment of out-of-pocket expenses and interest on money lent or reasonable and proper rent for premises demised or let to the Club.
  6. Every member of the Club undertakes to contribute to the assets of the Club, in the event of the same beiong wound up during the time he or she is a member or within one year afterwards, for payment of the debts and liabilities of the Club contracted before the time at which he or she ceases to be a member and of the costs, charges and expenses of winding up the same and for the adjustment of the rights of the contributories amongst themselves, such amount as may be required not exceeding ten dollars.
  7. If upon the winding up or dissolution of the Club there remains, after satisfaction of all its debts and liabilities, any property whatsoever, the same shall not be paid to or distributed among the members of the Club, but shall be given or transferred to some other institution or institutions having object similar to the object of the Club and which shall prohibit the distribution of its or to an extent at least as great as imposed on the Club under or by virtue of Clause 5 hereof, such institution or institutions to be determined by the members of the Club before the time of dissolution and in default thereof by such Judge of the Supreme Court of Hong Kong as may have or acquire jurisdiction in regard to charitable funds, and if and so far as effect cannot be given to the aforesaid provision, then to any charitable institution or institutions.
  8. True accounts shall be kept of the sums of money received and expended by the Club, and the matters in respect of which such receipts and expenditure take place;, and of the property, credits, and liabilities of the club; and, subject to any reasonable restrictions as to the time and manner of inspecting the same that may be imposed in accordance with the regulations of the Club for the time being in force, shall be open to the inspection of the members. Once at lease in every year the accounts of the Club shall be examined and the correctness of the balance sheet ascertained by one or more Auditor or Auditors appointed by the Club appointed pursuant to the provisions of the Companies Ordinance.
  9. The Memorandum and Articles of Association of the Club shall be construed in accordance with the English text thereof and no Chinese or any other translation thereof shall operate to vary or affect such construction.
